Governing Law: England & Wales

1. Definitions

“Provider”, “we”, “us”, “our”
KaiZhan Limited t/a Via Academy, incorporated and registered in England & Wales (Company No. 12610906), registered office: 506 Kingsbury Road, London, NW9 9HE.

“Course”
The Elite Methodology Course, including digital content, live sessions, mentorship, in-person club visits, and access to the AI Coach Platform.

“AI Coach Platform”
The cloud-based AI-powered coaching methodology platform provided by Via Academy.

“Purchaser”
The individual or organisation purchasing the Course.

“Participant”
The individual attending or accessing the Course and AI Coach Platform.

“Consumer”
A private individual purchasing for non-business purposes.

“Business Purchaser”
A club, academy, school, organisation, or entity purchasing on behalf of staff.

“Services”
The Course and access to the AI Coach Platform.

2. Application of these terms

2.1 These Terms apply to all Purchasers and Participants.

2.2 Where a Business Purchaser enrols Participants:

  • The organisation accepts these Terms on behalf of its staff;
  • Warrants it has authority to bind Participants;
  • Remains responsible for payment and compliance.

2.3 These Terms incorporate the Via Academy Privacy Policy.

2.4 In the event of conflict between these Terms and the Privacy Policy on data matters, the Privacy Policy prevails.

3. Service Description

3.1 The Course includes:

  • Digital learning materials
  • Live online sessions
  • Mentorship support
  • In-person club visits (where applicable)
  • Access to the AI Coach Platform

3.2 The AI Coach Platform provides:

  • Game Model development tools
  • Session planning tools
  • AI-assisted analysis
  • Player development structuring
  • Methodology storage and organisation

3.3 The Services are educational and advisory only.

3.4 The Services do not:

  • Provide medical advice
  • Provide safeguarding assessments
  • Provide professional accreditation
  • Guarantee coaching, career or player outcomes

4. Pre-Contract Information

Prior to purchase, we provide:

  • Course description
  • Price and instalment options
  • Delivery format
  • Refund terms
  • Digital access rules
  • Technology requirements
  • Model cancellation form (for Consumers)

5. Eligibility

5.1 Participants must be at least 18 years old.

5.2 The Course is intended for professional or semi-professional coaches.

5.3 Participants are responsible for ensuring they are legally permitted to upload any data into the AI Coach Platform.

6. Data Protection & Privacy

6.1 Roles

For Participant account and Course data:

  • Via Academy acts as Data Controller.

For player data uploaded into the AI Coach Platform:

  • The Participant or their Organisation acts as Data Controller.
  • Via Academy acts as Data Processor.

We do not act as Joint Controller for player data.

6.2 Infrastructure

The AI Coach Platform is hosted as follows:

  • Cloud Provider: Amazon Web Services (AWS)
  • Region: eu-west-1 (Dublin, Ireland)
  • Database: MongoDB Atlas (EU region)
  • Static storage: AWS S3 (EU region)
  • Encryption: TLS in transit, encrypted storage at rest

Primary storage is within the European Union.

6.3 Player Data Responsibilities

Participants uploading player data confirm that:

  • They have lawful authority to upload it.
  • They have obtained parental consent where required.
  • Only necessary coaching data is uploaded.
  • Medical or sensitive safeguarding records are not uploaded.
  • They comply with UK GDPR and applicable data protection laws.

We reserve the right to delete inappropriate or excessive data.

6.4 International Transfers

Where AI processing involves providers outside the UK/EU:

  • Standard Contractual Clauses are relied upon.
  • Transfer risk assessments are conducted.
  • Data is transmitted via encrypted API.
  • No permanent storage of Course database occurs outside the EU.

7. AI Coach Platform - Limitations

7.1 The AI Coach Platform:

  • Provides advisory suggestions only.
  • Does not make automated decisions.
  • Does not assess competence.
  • No permanent storage of CDoes not select players.
  • Does not rank or profile individuals.
  • Does not replace professional judgement.ourse database occurs outside the EU.

7.2 AI outputs may contain inaccuracies.

7.3 Participants remain fully responsible for:

  • Coaching decisions
  • Session implementation
  • Player welfare
  • Safeguarding compliance

7.4 No Guarantee of Outcomes

We do not guarantee:

  • Improved coaching performance
  • Player development outcomes
  • Professional advancement
  • Alignment with any specific club philosophy

8. Course Delivery

8.1 We deliver the Course with reasonable care and skill (Consumer Rights Act 2015).

8.2 Minor adjustments may be made without reducing educational value.

8.3 Significant changes will result in:

  • Rescheduling; or
  • Pro-rata refund (where appropriate).

9. Mentorship Sessions

9.1 Participants receive up to three mentorship interactions:

  • AI Coach Platform–guided session
  • Methodology application session
  • Methodology refinement session

9.2 Sessions must be used within the defined course window.

9.3 24 hours’ notice is required for rescheduling.

9.4 No-shows may result in forfeiture.

10. Licence &Intellectual Property

10.1 All Course materials and AI Coach Platform systems remain the intellectual property of Via Academy.

10.2 Participants are granted a personal, non-transferable, revocable licence to access the Services.

10.3 Participants may not:

  • Copy
  • Distribute
  • Publish
  • Share
  • Sell
  • Upload externally
  • Create derivative commercial products

10.4 Participant Content

Participants retain ownership of their uploaded content.

They grant us a limited licence to store and process content solely to provide the Services.

10.5 We do not use Participant data to train AI models.

11. Licence Duration

11.1 AI Coach Platform access runs from enrolment until the end of the stated licence period (as defined in Course materials or Order Form).

11.2 Continued access requires a separate subscription.

12. Fees & Payment

12.1 Fees must be paid in full unless instalments are agreed.

12.2 Late instalments may result in suspension.

12.3 Two missed instalments may result in acceleration of the remaining balance.

12.4 For Business Purchasers:

  • Fees remain payable regardless of staff turnover.
  • Substitutions may be permitted at our discretion.

13. Cooling-off Rights (Consumers Only)

13.1 Consumers have 14 days from enrolment to cancel.

13.2 If early access to digital content is requested, cancellation rights may be lost once access begins. 

13.3 Required wording must be acknowledged before early access.

13.4 Business Purchasers do not have cooling-off rights.

14. Cancellation & Refunds (After Cooling-Off)

Consumer refunds:

  • 14 days: 100% minus £40 admin fee
  • 7–14 days: 50%
  • <7 days: No refund
  • After access/start: No refund

Business refunds:

  • 14 days: 50%
  • 7–14 days: 25%
  • <7 days: No refund

No refund for missed sessions or visits.

Deferrals may be considered in exceptional cases.

15. In-Person Club Visits

15.1 Participants must comply with venue safeguarding and health & safety rules.

15.2 Attendance is at own risk.

15.3 We are not responsible for:

  • Travel/accommodation costs
  • Property loss
  • Participant negligence

15.4 Participants may not record, coach, or interact with players unless authorised.

16. Participant Conduct

Participants must:

  • Behave professionally
  • Respect confidentiality
  • Follow safeguarding rules
  • Use AI Coach responsibly

Breach may result in removal without refund.

17. Security & Platform Availability

17.1 We implement industry-standard security measures.

17.2 We aim for high availability but do not guarantee uninterrupted access.

17.3 We are not liable for outages caused by:

  • AWS
  • Internet providers
  • Third-party processors

18. Limitation of Liability

18.1 Nothing excludes liability for death or personal injury caused by negligence.

18.2 Subject to 18.1, our total liability is limited to the total fees paid.

18.3 We are not liable for:

  • Consequential losses
  • Loss of earnings
  • Loss of business opportunity
  • Coaching decisions
  • Player injury
  • Reliance on AI-generated suggestions

19. Suspension & Termination

We may suspend or terminate access for:

  • Breach of these Terms
  • Misuse of platform
  • Safeguarding violations
  • Non-payment

Upon termination:

  • Access ceases
  • Data deleted within 30 days (unless legally required to retain)

20. Complaints & Dispute Resolution

Complaints must be submitted to: hello@viaacademy.com

We aim to respond within 5 working days and resolve within 21 days.

ADR may be required before court proceedings.

21. Governing Law

These Terms are governed by the laws of England & Wales.

The courts of England & Wales have exclusive jurisdiction.

22. Model Cancellation Form (Consumers Only)
