1. Definitions
“Provider”, “we”, “us”, “our”
Kaizhan Ltd t/a Via Academy incorporated and registered in England & Wales (Company No. 12610906), registered office: 506 Kingsbury Road, London, NW9 9HE.
“Purchaser” – The person or organisation paying for the Course.
“Participant” / “Attendee” – The individual attending the Course.
“Consumer” – A private individual purchasing for non-business purposes.
“Business Purchaser” / “Organisation” – A club, company, school, academy, or entity purchasing on behalf of staff.
“Course” – The Elite Methodology Course including digital content, mentorship, live sessions, club visits and the AI Coach Platform.
2. Application of these terms
2.1 These Terms apply to all Purchasers and Participants.
2.2 Where a Business Purchaser enrols Participants, the organisation:
- accepts these Terms on behalf of their staff
- warrants authority to enrol them
- is responsible for attendance, conduct and fees
2.3 Where a Consumer purchases the Course, Section 5 applies.
3. Pre-Contract Disclosures
We provide, before purchase:

- Price and instalment structure
- Provider identity and contact details
- Delivery method
- Refund and cancellation conditions
- Digital content access rules
- Travel requirements for club visits
- Minimum tech requirements
- Model Cancellation Form
4. Privacy Policy & Data Protection
4.1 Our Privacy Policy explains how we collect, use, store and protect personal data in connection with the Course, including information processed via the AI Coach Platform. The Privacy Policy is issued under the UK GDPR and the Data Protection Act 2018.
4.2 By enrolling in the Course, the Purchaser and all Participants acknowledge and agree to the processing of personal data as described in the Privacy Policy. This includes processing necessary for Course delivery, mentoring, club visits, safeguarding requirements, and use of the AI Coach Platform.
4.3 The Privacy Policy forms part of these Terms by reference. A copy is available at www.viaacademy.com/course/privacy (or provided directly upon request).
4.4 Where Participants upload information relating to players (including under-18s) into the AI Coach Platform, they are responsible for ensuring they have lawful authority to do so and must comply with all data protection obligations outlined in the Privacy Policy and Section 12 of these Terms.
4.5 If there is any conflict between these Terms and the Privacy Policy on matters relating to personal data, the Privacy Policy prevails.
5. Privacy Policy & Data Protection
5.1 The Course includes digital learning, online sessions, mentorship, and club visits.
4.2 We deliver services with reasonable care and skill (Consumer Rights Act 2015).
4.3 Minor adjustments may occur without reducing educational value.
4.4 Major changes will result in a reschedule or pro-rata refund.
4.5 Mentorship Clarification
Participants receive up to three mentorship interactions:
- One AI Coach Platform–guided session
- One methodology application session
- One methodology refinement session
These session must be used within the 8-week window and 24 hours’ notice is needed; with no-shows being forfeited.
6. Cooling-Off Rights (Consumers Only) Privacy Policy & Data Protection
6.1 14-day cooling-off period from the day after enrolment.
6.2 Consumers must request early access and acknowledge loss of cancellation rights once digital content or service begins.
6.3 Required wording:
“I request immediate access to the Course and acknowledge that by accessing digital content or any part of the Course during the 14-day cooling-off period, I lose my right to cancel.”
6.4 Cancellation before access will result in a full refund.
6.5 Cancellation after partial access will result in fair pro-rata deduction.
6.6 Not applicable to Business Purchasers.
7. Fees, Payment & Installments
7.1 Fees must be fully paid before access unless instalments are agreed.
7.2 For Business Purchasers: fees remain owed regardless of staff turnover; substitutions allowed.
7.3 Late instalments will result in access suspension.
7.4 Installment Plans. Must be paid on time.
7.5 Late or Failed Payments
Missed installments result in suspension of Course and AI Coach Platform access.
Two missed installments result in the full remaining balance becoming immediately payable
8. Cancellation & Refunds (After Cooling-Off)

8.3 No refund for missed sessions or club visits.
8.4 Deferrals considered in exceptional cases.
9. Club Visits & In-Person Activities
9.1 Participants must comply with venue, safeguarding and H&S instructions.
9.2 Visits involve physical/environmental risk; attendance is at own risk.
9.3 We work only with reputable clubs.
9.4 We are not responsible for:
- participant negligence
- property loss
- travel/accommodation costs
8.5 Clubs may require ID, appropriate attire or waivers.
8.6 Participants may not record, coach, intervene or interact with players unless authorised.
8.7 Description of Visits
Presentation, methodology insights, training observation.
Appropriate clothing/footwear required.
10. Participant Requirements & Conduct
Participants must behave professionally, maintain confidentiality, complete assignments, and follow safeguarding.
Breach results in removal without refund.
10.1 Health & Equipment
Participants must be fit to attend and self-manage health.
10.2 Technology
A laptop/tablet/phone with internet is required for digital content and the AI Coach Platform.
10.3 Insurance
Participants must arrange personal/travel insurance where needed.
11. Intellectual Property
11.1 All Course materials and the AI Coach Platform remain our IP.
11.2 Licence is personal, non-transferable and revocable.
11.3 Prohibited: copying, publishing, sharing, uploading, selling.Health & Equipment
11.4 Breach may result in legal action.
11.5 No Sharing of Materials
Participants may not distribute course materials or AI Coach Platform outputs
12. Digital Content
12.1 Digital content delivered once login details are issued.
12.2 Not responsible for device issues or internet failures.
12.3 Reasonable efforts made to maintain uptime.
13. AI Coach Platform — Description, Licence & Limitations
13.1 Purpose of the AI Coach Platform
The AI Coach Platform supports Participants in creating, recording and refining their coaching methodology.
Participants may input session ideas, tactical principles and player information. The Platform may generate prompts or planning suggestions.
13.2 Player Data & Development Inputs
Participants may upload player details including IDPs and performance data. The Platform may use these inputs to provide planning insights.
13.3 Evolving Functionality
The AI Coach Platform may be updated, expanded, or adjusted throughout the Course.
13.4 No Guarantee of Outcomes
The AI Coach Platform offers advisory suggestions only and does not guarantee:
- improved coaching
- enhanced player outcomes
- professional advancement
- alignment with any particular club methodology
Participants remain responsible for all decisions.
13.5 Educational Support Only
All outputs must be reviewed using independent professional judgment.
13.6 Licence Duration
Access runs from enrolment until the end of the 2025/26 UK football season. Continued access requires a new contract.
12.7 Suspension & Misuse
Access may be suspended for misuse, breach, inappropriate uploads, safeguarding issues or non-payment.
13.8 Session Recording
We may record online sessions for training and quality assurance. Enrolment signifies consent, unless an opt-out is requested in writing before the Course begins.
14. Limitation of Liability
14.1 Liability is not excluded for death/personal injury caused by negligence. Recording
14.2 Otherwise liability limited to total fee paid.
14.3 Not liable for:
- consequential losses
- loss of earnings
- reliance on outcomes
- decisions made using Course content
14.4 Business Purchasers assume responsibility for attendee risk.
15. Safeguarding
15.1 We apply UK safeguarding standards.
15.2 Participants must comply with safeguarding during visits.
15.3 Breach of these will result in removal from the course.
15.4 Under-18s at Club Visits
Participants must maintain strict boundaries.
15.5 Under-18 Data in the AI Coach Platform
Participants uploading data relating to minors confirm:
- parental consent obtained
- only necessary data uploaded
- compliance with UK GDPR
We may delete inappropriate/excessive data.
16. Complaints & Dispute Resolution
Complaints must be sent to Kerrin@kaizhan.org.
We will acknowledge within 5 working days and aim to resolve within 21 days.
ADR required before court action.
17. Governing Law
These Terms are governed by the laws of England & Wales. Exclusive jurisdiction lies with the courts of England & Wales.
